Planisware’s Sustainable Development Charter outlines strict commitments to human rights, safe working conditions, business ethics, environmental protection, and responsible supplier practices for all partners and suppliers.
Planisware CEO made a commitment to support and promote the "Corporate Social Responsibility" principles, and to incorporate them in the Group's strategy and day-to-day operations with its partners.
This page formalizing Planisware commitment to ethics and sustainable development has prompted the procurement policy to remind their providers of goods and services (hereafter referred to as "Suppliers" or individually as the "Supplier") of the principles that each undertakes to defend and respect when entering into a business relationship with Planisware.
When starting their relationship, both Planisware and the Supplier express commitment on corporate social responsibility and to respect specifically the principles of the following areas:
HUMAN RIGHTS, WORKING CONDITIONS AND SOCIAL STANDARDS
RESPECT THE PRINCIPLES DEFENDED BY THE INTERNATIONAL LABOUR ORGANIZATION
The Supplier undertakes to respect the principles defended in the Conventions of the International Labor Organization and, in particular, the abolition of child labor and the elimination of all forms of compulsory or forced labor.Planisware strongly condemns modern slavery in any form (human trafficking, withholding of identity papers, violence and threats, debt bondage, etc.).
Suppliers undertake to respect the same level of requirement.
NOT HAVE RECOURSE TO ILLEGAL EMPLOYMENT AND TO RESPECT CURRENT LABOUR REGULATIONS
The Supplier undertakes not to employ unregistered workers. In particular, it undertakes to fulfill all obligations with respect to reporting to the administrative labor and tax authorities as required in the country concerned.
RESPECT LABOUR REGULATIONS AS WELL AS ALL REGULATIONS SPECIFIC TO ITS ACTIVITIES
The Supplier undertakes in particular:
- Not to practice any formof discrimination (distinction, exclusion or preference) based on color, sex, age, language, religion, sexual orientation, national or social origin, opinion or disability with respectto hiring or personnel management, and to promote equality in professional treatment
- Not to tolerate any form of harassment
- Not to use any form of mental or physical coercion, or corporal punishment for disciplinary purposes
- To respect current legislation with regard to working schedules, remuneration, training, freedom of association and collective bargaining.
- To respect minorities’ and indigenous peoples’ rights.
- Not to tolerate forced eviction.
RESPECT DECENT WORKING CONDITIONS
Suppliers must undertake to comply with the rules in force concerning the right to the payment of a decent and regular salary, to rest and to legal benefits, rights conferred on any employee.
This includes the respect of a maximum number of weekly working hours and respect for the weekly rest period.
Employees of Suppliers must be paid at least the minimum wage and benefit, where appropriate, for overtime worked in accordance with local laws and regulations.
TO IMPLEMENT QUALITY MEASURES AND PROMOTE PROFESSIONAL TRAINING FOR ITS PERSONNEL
The Supplier undertakes to implement quality measures and promote the development and professional training of its personnel.
HEALTH AND SAFETY
RESPECT CURRENT LOCAL LEGISLATION WITH REGARD TO HEALTH AND SAFETY
The Supplier undertakes to comply with all applicable legislation regarding occupational health and safety.
All of the supplier’s employees shall have the right to benefit from a health and social protection system in accordance with the local legislation in force.
IMPLEMENT MEASURES FOR RISK PREVENTION TO ENSURE SAFETY IN THE WORKPLACE
The Supplier commits to putting in place appropriate measures to prevent risks and ensure a safe workplace for all employees.
BUSINESS ETHICS
WORK AGAINST CORRUPTION
Planisware strongly condemns any form of corruption, extortion or money laundering and applies a “tolerance zero” in this regard.
The Supplier undertakes to comply with all applicable anti-corruption, anti-bribery, sanctions and anti-money laundering laws, applicable tax laws and any other criminal laws, as well as any other rules and regulations applicable (and in particular the UN and OECD Conventions as well as French law including Sapin II) to the services to be provided.
In particular, suppliers agree not pay bribes or engage in any act of corruption (including through facilitating payments, excessive gifts and hospitality, or donations) in their business relations with their customers, suppliers, members of the administration or any other related person.
The Supplier acknowledges that the giving or receiving of any payments, gifts, kickbacks, lavish or excessive entertainment or other things of value is strictly prohibited and may result in the termination of the relationship with Planisware and all future businesses.
ENSURE TRADE COMPLIANCE AND RESPECT EXPORT CONTROLS
The Supplier undertakes to comply with all applicable customs regulations, trade compliance requirements, and export control laws.
It commits to ensuring that its operations and supply chain partners are fully aware of, and adhere to, relevant economic sanctions, embargoes, and restrictions.
As part of the business relationship, suppliers must guarantee that they will declare any sanctions to which they are or would be subject.
ENSURE FINANCIAL RESPONSIBILITY AND ACCURATE RECORDS
The Supplier undertakes not to engage in any form of financial fraud.
It commits to maintaining accurate, complete, and truthful financial records in connection with the performance of this Agreement, and acknowledges that it is aware of the penalties associated with any breach of these obligations.
BE COMMITTED TO FAIR COMPETITION
Suppliers undertake to compete in a healthy and fair manner on the market, respecting the law laws and regulations on competition. They must refrain from participating in any anti-competitive practice whatever its form (illegal cartel, in particular on prices, abuse of a dominant position, etc.).
RESPECT PRIVACY AND DATA PROTECTION
Suppliers must deploy a secure IT system to prevent digital attacks or potential data leaks.
Individuals have the right to the protection of their personal data. The processing of personal data by Suppliers must be carried out in accordance with the General Data Protection Regulation (GDPR), any other laws and regulations that may exist locally and the contractual provisions described in the agreement applicable between Planisware and the Supplier.
AVOID CONFLICT OF INTEREST
The Supplier declares that it has no conflict of interests and that it has a policy to notify and avoid potential conflict of interest among its employees.
REPORT ILLEGAL OR UNETHICAL BEHAVIOR
The Supplier encourages its employees to report observed illegal or unethical behavior and undertakes to protect against retaliation persons reporting such behavior in good faith.

RESPECT INTELLECTUAL PROPERTIES AND ENSURE PRODUCT AUTHENTICITY
The Supplier undertakes to respect all intellectual property rights of Planisware as well as those of any third party, and warrants that the goods, services or deliverables provided do not infringe any intellectual property rights, including but not limited to copyrights, trademarks, patents, designs, and models.
The Supplier undertakes not to purchase, use, manufacture, or resell any counterfeit goods or materials. The Supplier further commits to implementing appropriate measures to ensure product authenticity and traceability throughout its supply chain, and to fully cooperate with Planisware and competent authorities in the event of any investigation or suspicion relating to counterfeit activities.
PROTECT CONFIDENTIAL INFORMATION
The Supplier undertakes not to, under any circumstances, use or disclose any sensitive or confidential information obtained in connection in the framework of its relationship with Planisware, unless the latter has given its prior consent.
Sensitive information includes all intellectual property rights and privileged information.
Suppliers may not use sensitive information to perform, directly or through a third party, transactions in the Group's listed securities or to guide the negotiation of contracts with third parties.
ENVIRONMENTAL PROTECTION
ADHERE TO THE PRINCIPLES OF ENVIRONMENTAL PROTECTION
The Supplier declares that it supports and respects the fundamental principles of environmental protection through the implementation of an environmental policy aimed at alignment with the best practices in the profession.
RESPECT CURRENT ENVIRONMENTAL REGULATIONS
The Supplier undertakes to ensure scrupulous respect of local, national, and international regulations in effect as well as general environmental protection principles in the framework of its activities on behalf of Planisware.
CONTROL THE IMPACT OF ITS ACTIVITIES ON THE ENVIRONMENT AND TO ADOPT A POLICY OF CONTINUOUS IMPROVEMENT
The Supplier undertakes to control the impact of its activities, goods or services delivered on the environment by adopting measures to identify the environmental consequences of these activities, in particular on water quality and water consumption, air quality, greenhouse gas emissions.
It undertakes to set up a process of continuous improvement in its management and control of the environmental impact of its activities and in particular to improve the energy efficiency of its activities and to support the use of renewable energies.
The supplier undertakes to respect biodiversity, to minimize land use, to refrain from any deforestation activities, and not to harm soil quality. The Supplier further commits to implementing sustainable resource management, decarbonization policy, as well as to ensure proper waste sorting, reuse, recycling practices throughout the performance of his relationship with Planisware.
In case of chemical industry, the Supplier undertakes to drive continuous improvement in safe chemicals management.
The Supplier undertakes to limit emission noise.
The Supplier undertakes to take care of animal welfare.
SUPPLIER ADHERENCE
PROMOTE THE PRINCIPLES OF SUSTAINABLE DEVELOPMENT AND CORPORATE SOCIAL RESPONSIBILITY AMONG ITS OWN PARTNERS AND SUPPLIERS
This Charter is an integral part of the purchasing processes.
The Supplier undertakes to implement all the means necessary to ensure compliance with the principles set out and to relay these provisions to their own suppliers, including in countries that are not signatories to the conventions of the International Labor Organization where they would have to work.
Planisware reserves the right to conduct audits or evaluations for the purpose of supplier qualification and in the event that any practices inconsistent with the principles supported in this Charter are detected. Planisware reserves the right to ask the supplier to implement corrective actions.
